1. Introduction

These terms and conditions ("Agreement") govern the provision of spray foam insulation services ("Services") by REVISION7 LLC ("Contractor") to the client ("Client").

By accepting the quotation and authorizing the Contractor to commence the services detailed within the quotation, the Client agrees to be bound by the terms and conditions of this Agreement.


2. Scope of Work

The Contractor agrees to perform the Services as outlined in the accepted quotation and according to the provided specifications.

The Contractor will provide all necessary materials and labor, building and construction materials, and all required tools and machinery needed for the completion of the Services.

Any changes to the scope of work must be agreed upon in writing by both parties.

All spray foam insulation is quoted and contracted at an "average" or "nominal" thickness and may vary in actual application.

While spray foam application is challenging to keep uniform, all efforts will be made to achieve an average thickness or depth as quoted.


3. Pricing and Payment Terms

Quotation Validity: All quotations are valid for [30] days from the date of issue.

Payment Schedule: Payment is due, in full, upon completion of Services.

Late Payments: If payment is not received within [10] days of completion, an interest charge of 1.5% per month (18% per annum) will be applied to the outstanding balance.

Grace Period: A grace period of ten [10] days from the completion date is provided before interest charges are applied.


4. Client Responsibilities

The Client must provide access to the property at agreed times.

The Client must ensure that all work areas are free of obstacles and that all necessary preparations are made before the Contractor's arrival.

The Client acknowledges that Spray Foam Insulation is a spray-applied liquid that may leak out of unsecured areas, potentially causing damage.

The Client assumes all responsibility to provide a complete and secure substrate to ensure safe spray foam insulation application.


5. Contractor Responsibilities

The Contractor will perform the Services in a professional and timely manner.

The Contractor will comply with all relevant health and safety regulations.

The Contractor will clean up the work area upon completion of the Services.


6. Warranty

The Contractor provides a warranty for a period of one [1] year from the date of completion against defects in materials and workmanship.

The Warranty does not cover damage caused by external factors or misuse by the Client.


7. Limitation of Liability

The Contractor's liability for any claims arising out of this Agreement is limited to the amount paid by the Client for the Services.

The Contractor is not liable for any indirect, incidental, or consequential damages.

The Client acknowledges that during the installation of spray foam insulation in an existing home or retrofit application, there is a potential or risk for drywall to form hairline cracks, particularly in ceiling areas.

The Client acknowledges that these cracks are unavoidable due to the nature of the installation process and will not be the responsibility of the Contractor to repair.

However, in the event that the Contractor punctures a hole in the drywall as a result of its own fault during the installation process, the Contractor will cover all costs for materials and labor to repair the damage caused.


8. Termination

Either party may terminate this Agreement by providing five [5] days written notice.

If the Client terminates the Agreement, the Client is responsible for payment for all work completed up to the date of termination.


9. Dispute Resolution

Any disputes arising from this Agreement will be resolved through mediation. If mediation fails, the dispute will be submitted to binding arbitration under the rules of the American Arbitration Association.


10. Governing Law

This Agreement is governed by the laws of the State of Texas.


11. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to its subject matter.


12. Amendments

Any amendments to this Agreement must be made in writing and signed by both parties.


Acknowledgment

By allowing the Contractor to proceed with the work outlined in the quotation, the Client acknowledges that they have read, understood, and agree to the terms and conditions outlined in this Agreement.
